  1. Grant of License

Subject to the terms and conditions of this Agreement, including payment of all applicable usage-based fees, Lattica grants You a limited, revocable, personal, non-transferable, non-assignable (except as expressly permitted herein), non-exclusive, non-sublicensable license to access and use the Platform and associated Services solely for Your internal business purposes and in accordance with your applicable package and permissions..

The Services are licensed, not sold, and are provided on a metered, usage-based basis. Your continued access to certain functionalities of the Platform may depend on maintaining sufficient account credit or usage rights.

We may update or modify the Platform from time to time, including adding, removing, or adjusting features, services, or billing rules. We will provide notice via the Platform regarding material changes, as determined by Lattica in its sole discretion.

  1. Account Registration and Administration

You must register and establish an Account to access and use the Platform. Upon registration, you will be designated as the Account administrator (the “Administrator”) or may appoint another party as Administrator. The Administrator is responsible for managing the Account and configuring access permissions for additional Developers and End Users.

Lattica offers two types of user accounts within the Platform:

  1. Management Account
    • This is the administrative-level account granted to the Customer (typically the model provider or service integrator).
    • The Management Account has full visibility and control over platform configurations and resources, including:
      • Creating and managing models
      • Assigning tokens to models
      • Generating and distributing API keys
      • Monitoring token usage and model activity
      • Managing credit balance and performing credit top-ups
      • Creating and managing Query Accounts
    • Only Management Accounts can access configuration and operational features within the management dashboard.
  2. Query Account
    • Query Accounts are used by authorized End Users (e.g., clients, consumers, or employees) to submit encrypted queries to deployed models.
    • These accounts operate under the access permissions defined by the Management Account and are limited to:
      • Submitting queries to assigned models
      • Viewing encrypted responses
      • Operating within a pre-configured credit and access scope
    • Query Accounts cannot manage tokens, purchase credits, modify model assignments, or access administrative settings.

YOU ARE SOLELY AND FULLY RESPONSIBLE FOR: (i) MAINTAINING THE CONFIDENTIALITY AND SECURITY OF LOGIN CREDINTIALS; (ii) ENSURING ACCURATE, UP-TO-DATE ACCOUNT INFORMATION; (iii) SUPERVISING ACCESS TO THE ACCOUNT; and (iv) MONITORING PLATFORM USAGE AND CREDIT CONSUMPTION.

The Administrator may perform actions such as purchasing credits, managing tokens, assigning models, generating API keys, and granting access rights to other users. Usage of the Services, including access to models or submission of queries, will be deducted from your credit balance. You must ensure that your Account maintains sufficient credit at all times. Failure to do so may result in suspension or throttling of Services until credits are replenished.

Lattica is not responsible for internal Account administration or any unauthorized activity under your Account. You agree that any activity by your Developers or End Users shall be deemed your own and that you are fully liable for their compliance with these Terms. Lattica reserves the right to suspend access or revoke Account privileges in the event of suspected violations or misuse.

You may request deletion of your Account at any time by contacting us directly, as the self-service deletion option is not currently available. Please note that Lattica is not obligated to retain any Content or data after your Account is deleted. We plan to introduce a self-service account deletion feature in the future. Regardless of deletion, Lattica may continue to send you communications related to the Services or your usage, unless you have opted out.
