GENERAL

PLEASE READ CAREFULLY: BY ACCESSING OR USING THE PLATFORM, DEMO, AND SERVICES PROVIDED BY LATTICA AI INC. (“LATTICA”, “COMPANY”, “WE”, “US” OR “OUR“), either directly or indirectly AND INTER ALIA though other providers, YOU (“CUSTOMER” OR “YOU”) AGREE TO BE BOUND BY THESE TERMS OF SERVICE (THE “AGREEMENT” OR “TERMS”), IN ADDITION TO ANY OTHER TERMS MADE AVAILABLE THROUGH LATTICA’S WEBSITE AND/OR SUNSCREEN INC’S (“SUNSCREEN”) WEBSITE, INCLUDING BUT NOT LIMITED TO THE GENERAL TERMS OF USE AVAILABLE AT https://www.lattica.ai/terms-of-use/. FOR BILLING AND PAYMENT PURPOSES, ALL FEES ARE PAYABLE TO LATTICA ONLY. FOR THE AVOIDANCE OF DOUBT, SUNSCREEN IS NOT LATTICA’S AGENT AND HAS NO AUTHORITY TO BIND LATTICA or make any representation or warrantY on its behalf; SUNSCREEN’S INVOLVEMENT IS LIMITED TO PROVIDING TECHNOLOGY COMPONENTS to which it is liable and responsible, AND RELATED TECHNICAL SUPPORT AS DESCRIBED HEREIN. Lattica allows You and/or End Users (as defined below) to submit queries to Your Sunscreen’s Compiled Program (as defined below), utilizing Sunscreen’s encryption, and privacy maintaining capabilities with Lattica’s Platform and Services (as defined below), subject to compliance with these Terms.

These Terms apply to all uses of Lattica’s proprietary Platform, Services, and any related content, software, documentation, or tools provided by Sunscreen or Lattica. By using or downloading such code or content, you agree that these Terms apply in full. You also agree that such Platform or Services or relevant APIs or parts of the foregoing may be embedded in any products or code provided by you to Lattica for this purpose.

Please read these Terms carefully and thoroughly, and when you are done with it, and only in case you have fully read and understand the Terms, you can accept and execute the Terms, by clicking on the “I Accept” button, found at the end of the scroll of the Terms.

  1. Definitions

Account Token” means the unique identifier assigned to a Client upon registration via the Console. In addition, the Account Token enables access to the Management Code Package and must be kept confidential and safeguarded with the same degree of care as a password.

“Client” means a unique account registered by You or for you by Lattica (as the case may be), via the Console for accessing the Services, identified by an Account Token.

“Credits” means pre-purchased units used to pay for metered compute resources (e.g., GPU/Worker  usage) as further described in Annex A (Compute Consumption Schedule).

Content” means any material, data, or information uploaded or submitted by Customer other than Inputs and outputs, including Repository Content and Contributions.

Contributions” means any materials, feedback, suggestions, enhancements, derivatives, code, documentation, or other content provided by You to Lattica or Sunscreen.

Console” means Lattica’s hosted web interface through which Customers register a Client, receive an Account Token, administer Tokens, purchase/manage Credits, and configure Sunscreen’s Compiled Program within the Platform. Access to the Platform and Services requires Console registration. After registration and issuance of an Account Token, certain administrative actions may be performed via either the Console or, where supported, via authenticated API calls using the Console or Management Code Package.

Customer” means the individual or legal entity that engages with Lattica for the provision of the Services, obtains access to the Platform, registers a Client via the Console, and accepts these Terms. The Customer is responsible for managing the account, deploying and maintaining Sunscreen’s Compiled Programs, managing Tokens and permissions, overseeing End Users and developers, and ensuring compliance with these Terms. The Customer may be a program provider, application owner, or service integrator utilizing the Platform for internal or external purposes.

End Users” means any individual or entity authorized by the Customer to access and interact with the Platform through the Query Client, including uploading evaluation keys, submitting encrypted queries and receiving outputs, whether through a user interface, API, or other integration method. End Users may include the Customer’s employees, clients, or third-party users permitted under the Customer’s account and subscription, but do not include administrative users responsible for managing the Platform settings, Compiled Programs, Tokens, or billing.

Input” means any data, content, prompts, queries, ontologies, metadata or similar materials submitted by Customer (or its End Users) through the Platform.

Metadata” means ancillary, non-content information generated, or collected during the use of the Platform, including but not limited to clickstream data, session duration, timestamps, system performance metrics, and minimal identifiers necessary for account operation (such as username or Account Token). Metadata expressly excludes any Input, Output, or other substantive data processed by the Platform for inference or generated as a result of such inference.

Management Code Package” means the publicly available code package or similar artifacts published by Lattica in its repository that facilitate authenticated interaction with the Platform after Console registration. The Management Code Package cannot, by itself, create a Client or Account Token, and does not process payment instruments; certain actions (including identity verification and Credit purchases) may be available only via the Console.

Output” means any result, including but not limited to knowledge graphs, curriculum suggestions, modular learning components, and structured data, generated by the Platform in response to Input, including encrypted outputs.

Platform” means Lattica’s proprietary FHE-SaaS (Fully Homomorphic Encryption Software As a Service) to enable secure computation on encrypted data using Sunscreen’s TFHE library and components for encryption/decryption capabilities.

Professional Services” means services such as onboarding, implementation, support, and consultancy.

Repository Content” means code or content or package provided by Lattica or Sunscreen on public or private GitHub repositories or similar platforms.

Services” means access to use the Platform, and/or related applications, tools, APIs, and support.

“Sunscreen’s Compiled Program” or “Compiled Program” means an executable artifact produced by the Sunscreen compiler from Customer-provided source code, intended to be executed by Sunscreen’s secure execution runtime on encrypted data.

Stripe” means Stripe Inc., the third-party payment processing service provider.

“Token” means a scoped, revocable credential (including an API key) generated under Customer’s Client after Console registration, issued via the Console or, where supported, via authenticated API using the Management Code Package, that authenticates and authorizes a Query Client to submit encrypted queries to the Customer’s designated Compiled Program within the Platform, subject to the applicable permissions, limits, and Credits.

Third Party Services” mean any service, products, software or application that is provided by a third party to You and interoperates with or is made available in connection with the Services.

Use Data” means data relating to Your use of the Platform and Services, including but not limited to information related to: (i) statistical data, device generated reports and audit logs; and (ii) settings, preferences chosen, and resource usage.

Website” means Lattica’s website located at https://www.lattica.ai/. Or Sunscreen’s Website located at https://sunscreen.tech/

Worker” means a compute unit provisioned by the Platform to process encrypted queries, (e.g., GPU/     CPU/TPU/FPGA/ASIC) resource allocated for model inference or related operations. Worker usage is measured in time-based units (e.g., per minute) or as otherwise specified in Annex A.

  1. Platform and Services

These Terms, apply to the users of the Platform and/or Services, as well as any demo thereof, owned and/or operated by Lattica, and therefore the access and the use of such shall be governed by and subjected to all terms and conditions of these Terms.

Subject to your compliance with the terms of these Terms, and making the relevant payments on a timely manner, Lattica hereby grants to You, and You accept, a world-wide, nonexclusive, non-transferable, non-sub-licensable, limited and revocable right to access and use the Services for Your internal operations.

The Platform encrypts content using Sunscreen’s technology for encryption/decryption capabilities. However, Lattica is not responsible and does not control any program-generated content which is uploaded to it and/or passes through it. It is explicitly clarified that the content does not constitute a substitute for professional advice, nor does the Platform and/or Services purport to replace such advice. The use of Sunscreen Compiled Program is solely the responsibility of the user.

WITHOUT DEROGATING FROM ANY LIMITATION OF LIABILITY OR LIMITATION OF WARRANTY PROVIDED IN THESE TERMS, AND IN ADDITION THERETO, IT IS ALSO STIPULATED THAT SUBJECT TO THE REQUIREMENTS AND LIMITATIONS, IF ANY, OF APPLICABLE LAW, IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, SATISFACTION AND MERCHANTABILITY SHALL NOT APPLY. YOUR SOLE RECOURSE IN THE EVENT OF ANY DISSATISFACTION WITH THE PLATFORM AND/OR SERVICES IS TO STOP USING IT. THIS DISCLAIMER OF WARRANTY CONSTITUTES AN ESSENTIAL PART OF THESE TERMS. IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF THE COMPANY OR ITS AFFILIATES, UNDER, OR OTHERWISE IN CONNECTION WITH, THESE TERMS AS THEY RELATE TO THE PLATFORM AND/OR SERVICES, EXCEED THE FEES ACTUALLY PAID BY YOU TO LATTICA IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

  1. Grant of License

Subject to the terms and conditions of this Agreement, including payment of all applicable usage-based fees, Lattica grants You a limited, revocable, personal, non-transferable, non-assignable (except as expressly permitted herein), non-exclusive, non-sublicensable license to access and use the Platform and associated Services solely for Your internal business purposes and in accordance with your applicable package and permissions     .

The Services are licensed, not sold, and are provided on a metered, usage-based basis. Your continued access to certain functionalities of the Platform may depend on maintaining sufficient account Credit or usage rights.

We may update or modify the Platform from time to time, including adding, removing, or adjusting features, services, or billing rules. We will provide notice via the Platform regarding material changes, as determined by Lattica in its sole discretion.

  1. Client Registration and Administration

You, as a Customer, must register and establish a Client via the Console to access and use the Platform. Upon registration, you will be automatically designated as the Client administrator (the “Administrator”). The Administrator is responsible for managing the Client and configuring End Users via the Console and Management Code Package (via authenticated API, where supported).

Lattica provides the following roles under your Client:

  1. Console
  • This is a hosted administrative-level interface for managing compiled programs, Tokens, and Credits (typically the compiled program provider or service integrator). At present, each Customer has one Client administered via the Console.
  • The Console has full visibility and control over platform configurations and resources, including:
    • Creating and managing compiled programs
    • Assigning Tokens to a compiled program
    • Monitoring usage and compiled program activity
    • Managing Credit balance and performing Credit top-ups via the Console
    • Creating and managing Tokens
  • The Console is the authoritative control plane.
  1. Management Code Package (optional tool)
  • A Python SDK and accompanying API specifications for programmatic integration provided by Lattica that, after Console registration and issuance of an Account Token, enable supported administrative operations via authenticated API.

 

  • Representative operation (subject to API availability): creating/managing compiled programs; assigning Tokens; configuring Token scopes and permissions; generating/rotating API keys and Tokens; retrieving usage metadata and audit logs; reading current Client configuration state.

 

  • Cannot create a Client or Account Token.
  • Cannot purchase Credits (Credit purchases occur only via the Console).
  • Feature availability may differ from the Console and may change over time.
  1. Query Client
  • Query Clients are used by authorized End Users (e.g., clients, consumers, or employees), who or which are clients, consumers or employees of the Customer, to submit encrypted queries to deployed compiled programs and to receive encrypted responses, solely within the scope of Tokens issued under Customer’s Client. Query Clients do not enable administrative actions (including creating a Client or Account Token, purchasing Credits, managing Tokens, or modifying compiled program assignments). For clarity, Query Clients currently include (i) a TypeScript SDK for queries within web environments and (ii) a Python SDK for integrating secure query capabilities in native applications; additional or successor Query Clients may be introduced or modified by Lattica from time to time. If such End Users are Your employees, i.e. employees of a Customer, then these Terms shall apply to them mutatis mutandis.
  • These End Users operate under the access permissions (Tokens) issued via the Console (or via the Management Code Package) and are limited to:
    • Submitting queries to the assigned compiled programs
    • Viewing encrypted responses
    • Operating within a pre-configured Credit and access scope
  • End Users cannot manage Tokens, purchase Credits, modify compiled program assignments, or access administrative settings. It is Your responsibility to ensure the sufficiency of Credits and the eligibility and availability of required applicable Token(s).

YOU ARE THE PARTY SOLELY AND FULLY RESPONSIBLE FOR: (i) MAINTAINING THE CONFIDENTIALITY AND SECURITY OF LOGIN CREDENTIALS; (ii) ENSURING ACCURATE, UP-TO-DATE CLIENT INFORMATION; (iii) SUPERVISING ACCESS TO THE CLIENT; AND (iv) MONITORING PLATFORM USAGE AND CREDITS CONSUMPTION.

The Administrator may perform actions such as purchasing Credits, managing Tokens, assigning compiled programs, and generating API keys. Usage of the Services, including access to compiled programs or submission of queries, will be deducted from your Credit balance based on the then applicable price list as set forth in Annex A and updated in accordance to Section 18. You must ensure that your Client maintains sufficient Credits at all times. Failure to do so may result in suspension or throttling of Services until Credits are replenished. A renewal of services, as well as a change to the services offered by Lattica from time to time, or to the Platform, may require You to update your compiled program.

Lattica is not responsible for internal Account administration or any unauthorized activity under your Account. You agree that any activity by Your End Users shall be deemed your own and that you are fully liable for their compliance with these Terms and any applicable laws. Lattica reserves the right to suspend access or revoke Account privileges in the event of suspected violations or misuse. In order to remove any doubt, You represent and warrant that neither You nor any End User, or anyone on their behalf, will utilize the Platform and/or the Services, including Sunscreen’s compiled programs, and will not send any Input which is illegal or infringing rights of any third party, in any way. You shall be solely and wholly liable for any such breach of law or right, and shall indemnify and hold Lattica harmless from any such claims.

You may request deletion of your Account at any time by contacting us directly, as the self-service deletion option is not currently available. Please note that Lattica is not obligated to retain any Content, Input, Output or data after your Account is deleted. We plan to introduce a self-service Client deletion feature in the future. Regardless of deletion, Lattica may continue to send you communications related to the Services or your usage, unless you have opted out. Lattica may also utilize anonymized and aggregated metadata (such as usage statistics, performance metrics, and system logs) for improving its Platform and Services, and for statistical purposes, without any compensation to You or to End Users, and without accessing or processing unencrypted Inputs or Outputs.

  1. Tokens, Credits, and Fees

Tokens may be generated, scoped, and revoked by Customer’s Console or the Management Code Package. Customer may distribute Tokens to its End Users solely to enable access to Customer’s assigned compiled programs under Customer’s Client and within Customer-defined limits.

Tokens are operational credentials only and do not constitute or effect any assignment, novation, sublicense, transfer, sale, or delegation of Customer’s rights or obligations under these Terms. Without limiting the foregoing, Tokens may not be sold, resold, pledged, leased, or otherwise monetized or transferred, except that Customer may provide Tokens to End Users to access Customer’s compiled program on Customer’s behalf. Any attempted assignment or transfer in violation of this subsection is void.

Customer is solely responsible for securing Tokens and for all use of the Services via Tokens issued under its Client, including by End Users. Customer shall promptly revoke any compromised Token and notify Lattica of suspected misuse. Lattica may disable Tokens that appear compromised or used in violation of these Terms.

Credits must be purchased in advance (unless otherwise agreed in writing) and are consumed based on actual measured usage (e.g., CPU time, Worker minutes, model invocation, or other metrics) in accordance with Annex A. Lattica’s metering and usage logs are determinative for billing absent manifest error. Payments for Credits are processed exclusively via Stripe’s hosted checkout or a similar services as may be resolved from time to time by Lattica. Lattica does not collect or store any payment card or bank details and only receives confirmation of payment and minimal billing identifiers. All Fees are payable to Lattica only; Sunscreen does not invoice and/or collect any Fees under these Terms.

Unit Consumption for compute (“Worker Consumption”) and other metered resources are set forth in Annex A, which is accessible via https://platformdocs.lattica.ai/conceptual-guide/pricing, may be updated from time to time by Lattica unilaterally upon notice via the Platform. Continued use after the effective date of an update constitutes acceptance. If Customer objects, Customer may stop using the Services prior to the effective date; Customer’s sole remedy is to cease use, no refunds are available. For the avoidance of doubt, “Fees” means all amounts payable by Customer to Lattica under these Terms or any order, including Credits, metered usage (e.g., Worker consumption), subscriptions, add-ons, and professional services, excluding Taxes.

At present, the unit rates in Annex A reflect a temporary reduction (“Beta Pricing”) applicable during the Platform’s beta phase. Beta Pricing is promotional only, does not create any price guarantee or most-favored-customer commitment, and may be modified or discontinued by Lattica in its sole discretion upon notice via the Platform (including upon or after general availability). For the avoidance of doubt, Credits purchased during the beta phase will be consumed at the then-current rates at the time the Worker operates.

Credits are consumed based on the applicable rate at the time the Worker operates, regardless of the rate at which Credits were purchased. If multiple Workers operate concurrently, Credits will be deducted separately for each Worker.

Fees are exclusive of all taxes, duties, levies, or similar governmental assessments, including VAT, sales, use, or withholding taxes (collectively, “Taxes”). Customer is responsible for all Taxes associated with its purchases of Credits and use of the Platform and/or Services, other than taxes based on Lattica’s net income.

Unless required by law, all purchases are non-cancelable, and amounts paid are non-refundable. Credits expire twelve (12) months after purchase if unused, unless a different period is set out in Annex A.

Distribution of Tokens to End Users does not create any contractual relationship between Lattica and such End Users. Customer remains fully responsible for all End User activity and compliance as further set out in Section 8 and Section 10.

  1. Disclaimers

EXCEPT FOR THE EXPRESS WARRANTIES PROVIDED  HEREIN,  AND TO THE EXTENT  PERMITTED  BY  APPLICABLE  LAW,  THE  LICENSED  PLATFORM AND SERVICES  ARE  PROVIDED WITHOUT  ANY  OTHER  WARRANTY.  COMPANY  EXPRESSLY  DISCLAIMS  ALL  OTHER EXPRESS   AND   IMPLIED   WARRANTIES,   INCLUDING,   BUT   NOT   LIMITED   TO, MERCHANTABILITY, NON-INTERFERENCE,  SECURITY,  FITNESS  FOR  A  PARTICULAR PURPOSE,  OR NON- NON-INFRINGEMENT. THE ENTIRE RISK  ARISING OUT  OF THE USE OF THE LICENSED PLATFORM AND/OR SERVICES REMAINS WITH YOU. COMPANY DOES NOT WARRANT THAT THE ACCESS TO AND USE OF LICENSED SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT ERRORS ARE REPRODUCIBLE OR THAT ERRORS ARE REPAIRABLE AND DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE LICENSED PLATFORM AND/OR SERVICES INCLUDING WITHOUT LIMITATION IN TERMS OF THEIR CORRECTNESS, USEFULNESS, ACCURACY, RELIABILITY, OR OTHERWISE. COMPANY ALSO, WITHOUT DEROGATING FROM THE GENERALITY OF THE FOREGOING, DOES NOT MAKE ANY REPRESENTATION OR WARRANTY THAT THE INPUT AND/OR OUTPUT IS NOT CRACKABLE, DECRYPTABLE OR PENETRABLE BY THIRD PARTIES.  LATTICA TAKES NO RESPONSIBILITY AND SHALL NOT BE LIABLE FOR THIRD‑PARTY SERVICES OR COMPONENTS (INCLUDING SUNSCREEN’S COMPONENTS).

  1. Restrictions

As a condition for the access and use rights granted to the applicable End User hereunder, Customer must not grant or enable any other party to: (a) sell, resell, or lease the Services, or use the Platform and/or the Services in any time sharing or service bureau arrangement (b) access or attempt to access the Platform and/or the Services by any means other than the interface Lattica provided or authorized; (c) circumvent any access or use restrictions put into place to prevent certain uses of the Platform and/or the Services; (d) use the Platform and/or the Services to store, share or transmit Content which is unlawful, infringing, harmful or which violates any person’s or third party’s rights, including without limitation privacy rights and intellectual property rights; (e) attempt to disable, impair, overburden, or damage the Services, Platform or Website; (f) copy, modify, create a derivative work of, reverse engineer or decompile the Platform and/or the Services or any part thereof, or attempt to extract the source code of the Platform and/or the Services or Output or any part thereof, (g) engage in any activity that disrupts or interferes with the Services or Platform’s operations; (h) represent that Customer or any third party possesses any proprietary interest in the Platform, Services, Website or any part or derivative thereof (other than Output); (i) directly or indirectly, take any action to contest Company’s intellectual property rights or infringe them in any way; (j) except as specifically permitted in writing by Company, use the name, trademarks, trade-names, and logos of Company; (k)  remove the copyright, trademark and other proprietary notices contained on or in the Platform, Website or Lattica’s documentation; (l) take action, directly or indirectly, to register Company trademarks (or their variation), domain names, or copyrights in its own name; (m) access or use the Platform and/or the Services or the Output to build, train or improve a competing product or service, or use the Platform and/or the Services for benchmarking without Lattica’s prior written consent or (n) attempt or assist anyone in doing any of the foregoing.

We reserve the right to enforce usage limits to any Services or resources, at our sole discretion (for unpaid Services) or in accordance with your subscription plan or type of user account (for paid Services), with or without notice, which may result in us disabling or throttling your usage of the Services for any amount of time.

Lattica will only retain Your Content for as long as you are using the Platform as required for Lattica to securely process such Content and provide the Services as permitted hereunder. Except for Client registration information and Use Data and/or Metadata, Lattica does not store Inputs or Outputs in any unencrypted form.

The Platform is designed to process data while it remains encrypted. The encryption keys are solely held and managed by You or your End Users. As such, Lattica does not have the ability or intention to access, view, or decrypt any of your Input or Output content. You or your End Users alone are responsible for viewing and interpreting unencrypted Outputs, and for maintaining backups of all data.

The Services are not intended to and will not function as a data storage or archiving service. You agree not to rely on the Platform and/or the Services for any storage, persistence, or backup of Content. Lattica and, or Sunscreen shall have no responsibility or liability in respect of any loss of or damage to any Content, Input or Output, except as expressly set forth herein or in a separate written agreement.

The Platform is currently in beta. While we implement advanced cryptographic and security measures, Lattica and Sunscreen cannot guarantee full protection of data against all potential security threats. Use of the Platform and/or the Services is at your own risk, and you acknowledge that data confidentiality and integrity may be affected by factors beyond Lattica’s and, or Sunscreen’s reasonable control.

  1. End User Contracting; Flow-Down Terms; No Claims by Third Parties

Customer is solely responsible for contracting with any of its own End Users, i.e. its customers, clients, and their employees or other staff, who access Customer’s compiled programs or other resources with the use of the Platform and/or the Services, including via Tokens or API keys provisioned under Customer’s Client. Lattica and/or Sunscreen are not a party to, and shall have no obligations under, any agreement between Customer and any End User.

Customer shall ensure that each End User agreement: (i) prohibits any use that would breach these Terms if done by Customer; (ii) includes disclaimers and use-at-own-risk language that are no less protective of Lattica and, or Sunscreen than these Terms; (iii) includes a limitation of liability cap for the benefit of Lattica and/or Sunscreen that is no less protective than these Terms; (iv) states that Lattica provides infrastructure and enabling technology only, without privity with End Users, with no warranties or obligations to End Users; (v) prohibits End Users from asserting any claim, remedy, or right directly against Lattica or Sunscreen; (vi) includes restrictions substantially similar to the restrictions herein; and (vii) requires compliance with applicable laws (including export, sanctions, and privacy).

End Users are not third-party beneficiaries of these Terms. To the maximum extent permitted by law, End Users shall have no right to bring any claim against Lattica and/or Sunscreen arising from or related to the Services, the Output, or Customer’s compiled programs, and Customer shall not purport to grant any such right.

Customer shall defend, indemnify, and hold harmless Lattica and/or Sunscreen (and their affiliates, personnel, shareholders, officers, directors, employees, consultants and suppliers) from and against any claim, demand, loss, damage, cost, liability, penalty, or expense (including reasonable attorneys’ fees) arising out of or relating to: (1) any of Customer’s and/or End User’s acts or omissions; (2) any agreement or dispute between Customer and any End User; (3) any representation or warranty made by Customer to any End User regarding Lattica and/or Sunscreen, the Platform and/or the Services, or the Output; or (4) any End-User claim asserted directly against Lattica and/or Sunscreen regardless of its reasons.

Customer shall not make, and shall ensure End Users do not rely on, any representation, warranty, commitment, or undertaking on behalf of Lattica and/or Sunscreen, the Platform and/or the Services, unless expressly authorized in a written instrument signed by Lattica.

Customer represents, warrants, and covenants that neither Customer nor any authorized person nor any End User who will receive access to the Platform on Customer’s behalf is: (i) a person or entity listed on any asset freezing or property blocking sanctions list administered by the United States, United Kingdom, or European Union (a “Prohibited Party”), or is directly or indirectly owned (50% or more, individually or in the aggregate, directly or indirectly) or controlled by a Prohibited Party; (ii) listed on any trade restriction list administered under applicable export control laws, including the Denied Persons List, the Entity List, or Unverified List maintained by the Bureau of Industry and Security of the U.S. Department of Commerce; or (iii) located in, operating from, ordinarily resident in, or organized under the laws of any country or territory subject to country wide or territory wide economic or trade sanctions imposed by the United States or Israel.

  1. Intellectual Property

As between us, You are and shall remain the exclusive owner of Your Content, Input and Outputs generated from Your Inputs, and are solely responsible for protecting Your Content. While Lattica and Sunscreen implement data security programs and measures as detailed on their Website and as updated by Lattica and Sunscreen from time to time at their own discretion, Lattica and Sunscreen shall not be liable if You fail to configure, or misconfigure, any options included in the Platform and/or the  Services, Your misuse of same, and/or if You inadvertently allow unauthorized parties to view your Content.

You hereby grant Lattica a worldwide, non-exclusive, limited, non-transferable and non-sublicensable (other than to Lattica’s affiliates and Third Party Service providers involved in the provision of the Services), royalty-free right and license for the Subscription Term to use and host the Content solely to provide the Services, improve the Services, provide You with support and maintenance and enforce Lattica’s rights and policies.

You grant Lattica a worldwide, perpetual, non-exclusive, non-sublicensable and non-transferable, royalty-free license to monitor and analyze Your use of the Platform and Services, and to collect and process Use Data and Metadata for the following purposes:

  • Providing and maintaining the Services;
  • Generating internal analytics, diagnostics, and usage reports;
  • Improving and optimizing the performance, functionality, and security of the Platform
  • Developing new features or offerings based on aggregated usage patterns.

All such Use Data and/or Metadata will be anonymized and/or aggregated for analytics purposes and will not be used to identify End Users. Lattica retains limited Client information (e.g., username, email) solely for authentication and billing, as described in our Privacy Policy. Lattica does not collect or process the underlying Input or Output data in unencrypted form and does not access customer-provided encryption keys.

All rights not expressly granted to You under these Terms are reserved by Lattica and its licensors. Without limiting the foregoing, Lattica and its licensors retain all rights, title, and interest in and to the Platform, the Services, and all derivatives, enhancements, improvements, or modifications thereof, including any related intellectual property rights.

  1. Customer-Provided Compiled Programs; Maintenance and Updates

Customer is solely responsible for the development, content, operation, maintenance, updates, versioning, testing, and support of any Sunscreen Compiled Program, configurations, prompts, or pipelines that Customer uploads or makes available via the Services (“Compiled Programs”).

Lattica has no obligation to maintain, update, patch, debug, tune, re-train, or otherwise modify any Customer Compiled Programs, nor to ensure their compatibility with any Platform changes or third-party components.

Customer shall promptly apply any updates, patches, or changes necessary for Customer Compiled Programs to operate securely and as intended. Lattica shall have no liability for any error, unavailability, misclassification, performance degradation, or other issue arising from or relating to Customer Compiled Programs(including any failure to update).

Customer represents and warrants that (A) it has all rights necessary to upload and use the Customer Compiled Programs; (B) Customer Compiled Programs do not contain malicious code or violate applicable law; and (C) Customer Compiled Programs will not cause the Services to violate the rights of any third party.

  1. Data Protection and Privacy

General Data Handling

Lattica collects only limited Customer information necessary for authentication and Client account management, such as your email address, organization, and login metadata, managed securely through a third-party identity provider. Lattica may also collect limited “Business Contact Information”, meaning administrative and billing-related details such as name, business email address, organization details, amount paid, and invoice reference, for purposes such as Customer administration and compliance. Lattica may also collect Metadata and Use Data, for purposes such as performance monitoring, security, and compliance. Lattica processes such limited personal data solely for the purposes of providing and securing access to the Platform, in accordance with applicable data protection laws and our Privacy Policy (https://www.lattica.ai/privacy-policy/), as may be amended from time to time. Payment Information

When purchasing Credits, Customers are redirected to Stripe’s hosted checkout. Lattica does not collect or store payment card or bank details; all transactions are handled by Stripe under its own terms and Privacy Policy (https://stripe.com/privacy).

Encrypted Content, Inputs and Outputs

You acknowledge and agree that Your Content, Input and/or Output should not include any personal data unless strictly necessary for your use of the Services. Lattica is designed to process only encrypted data, which remains inaccessible to Lattica at all times. We do not store or process unencrypted Inputs or Outputs, and we do not have access to your evaluation keys. If you choose to include personal data, you are solely responsible for ensuring it is properly encrypted and handled in compliance with all applicable data protection laws. For the purposes of applicable data protection laws, with respect to encrypted Content, Inputs and/or Outputs submitted by Customers through the Platform, processing such data solely on behalf of and under the instructions of the Customer.

Customer acknowledges that the Platform operates solely on encrypted data using Sunscreen’s components, and encryption/decryption capabilities; that all encryption and/or evaluation keys are held and managed exclusively by Customer and/or its End Users; and that Lattica has no access, custody, or technical ability to decrypt or view Inputs or Outputs and does not store unencrypted data. Accordingly, subject to applicable law, if Lattica receives any governmental or court demand to disclose information, Lattica cannot provide Input or Output content and may provide only limited metadata and administrative or billing information as legally required; Customer is solely responsible for key management, decryption, and responding to such demands. Where legally permitted, Lattica and/or Sunscreen will give Customer reasonable notice and refer the requester to Customer. This clause is without prejudice to, and in addition to, the limitations of liability and indemnities set out elsewhere in these Terms.

  1. Warranties; Disclaimer of Warranty

User hereby represents, warrants and undertakes that: (i) User will use the Platform, the Services, the Output and Website in compliance with any and all applicable law(s), rules(s) or regulation(s) (whether in the United States or other countries), including with regards to data privacy, export control and intellectual property rights; and (ii) User has all consents, rights and authority to provide and submit any and all Content, including provision of Input, without infringing the rights of any third party.

Lattica represents and warrants that: (a) to the extent any Professional Services are delivered, such Professional Services will be performed in a professional and workmanlike manner; and (b) Lattica will use industry standard practices designed to detect and protect the Services against any viruses, “trojan horses”, “worms”, spyware, adware or other harmful code designed or used for unauthorized access to or use, disclosure, modification or destruction of information within the Services or interference with or harm to the operation of the Services or any systems, networks or data, and scan the Services and Platform on a regular basis.

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICES, THE PLATFORM, AND DEMO ARE PROVIDED ON AN “AS IS”, AND “AS AVAILABLE” BASIS, AND COMPANY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO RELIABILITY OF SERVICE, WARRANTIES OF NON-INFRINGEMENT OR IMPLIED WARRANTIES OF USE, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR USE, THAT THE USE OF THE PLATFORM OR DEMO WILL BE ERROR-FREE OR AVAILABLE AT ALL TIMES. WE DISCLAIM ALL LIABILITY AND ANY OBLIGATIONS FOR ANY HARM OR DAMAGE CAUSED BY ANY THIRD PARTY SERVICE PROVIDER. OTHER THAN AS EXPRESSLY STATED IN THESE TERMS WE DO NOT WARRANT THAT THE PLATFORM, OR SERVICES WILL BE SECURE, UNINTERRUPTED, WITHOUT ERROR, OR FREE OF DEFECTS. LATTICA TAKES NO RESPONSIBILITY AND SHALL NOT BE LIABLE FOR THIRD PARTY SERVICES.

YOU ACKNOWLEDGE AND AGREE THAT THERE ARE INHERENT LIMITATIONS ASSOCIATED WITH THE USE OF SUNSCREEN COMPILED PROGRAMS, AND ENCRYPTED COMPUTATION SYSTEMS. THESE LIMITATIONS MAY AFFECT THE OUTPUT GENERATED BY THE PLATFORM AND MAY ARISE FROM A VARIETY OF FACTORS, INCLUDING BUT NOT LIMITED TO: (i) THE NATURE OF THE UNDERLYING COMPILED PROGRAMS; (ii) THE QUALITY, CLARITY, OR COMPLETENESS OF YOUR INPUTS, AND (iii) THE FACT THAT ALL PROCESSING IS PERFORMED ON ENCRYPTED DATA, WHICH CANNOT BE AUDITED OR VALIDATED BY LATTICA.

AS A RESULT, OUTPUT MAY CONTAIN ERRORS, HALLUCINATIONS, REPETITIVE OR NONSENSICAL CONTENT, OR RESULTS THAT ARE INCOMPLETE, BIASED, INACCURATE, OR OTHERWISE UNSUITABLE FOR YOUR INTENDED PURPOSES. LATTICA MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, LEGALITY, OR FITNESS FOR PURPOSE OF ANY OUTPUT.

YOU ACKNOWLEDGE THAT LATTICA CANNOT REVIEW OR VALIDATE ANY INPUTS OR OUTPUTS, AS THESE REMAIN FULLY ENCRYPTED AND INACCESSIBLE TO LATTICA. YOU ARE SOLELY RESPONSIBLE FOR THE CONTENT, INTEGRITY, LEGALITY, AND SUITABILITY OF YOUR INPUT, AND FOR INDEPENDENTLY EVALUATING AND VALIDATING ALL OUTPUT RECEIVED. ANY RELIANCE ON OUTPUT IS AT YOUR OWN RISK.

The Platform is currently in beta. Lattica using Sunscreen compiled program continues to improve and refine its encrypted infrastructure but cannot guarantee consistent output performance, interpretability, or result quality across all queries or use cases.

User’s sole and exclusive remedy for a breach of warranties is for Lattica and/or Sunscreen to reperform the services such that they are compliant with the express warranties included herein.

  1. Third-Party Cloud Infrastructure

Customer acknowledges that the Services are deployed on, depend upon, and interoperate with third-party cloud infrastructure currently provided by Amazon Web Services and/or its affiliates, or any other similar services nominated for this purpose by Lattica from time to time (“AWS”). Lattica does not control AWS and is not responsible for AWS’s services, performance, availability, security, or compliance.

To the maximum extent permitted by law, Lattica shall have no responsibility or liability for any delay, outage, degradation, error, data loss, security incident, or other issue to the extent attributable to AWS or any other third-party cloud provider. Lattica makes no warranties of any kind with respect to AWS, and no AWS service levels or Credits apply unless expressly agreed by Lattica in a written order.

Customer must comply with any applicable AWS acceptable use policies and terms that are relevant to Customer’s use of the Services. Customer’s breach of any such terms shall be deemed a breach of these Terms.

Any failure or delay of the Services caused by AWS (including maintenance windows, regional disruptions, capacity constraints, or service changes) shall be deemed excused under these Terms.

Except as expressly agreed in writing, Lattica does not commit to any specific AWS region or data residency requirement. Customer is solely responsible for any data residency, sovereignty, or regulatory obligations that apply to Customer Data or compiled programs, and for selecting any region options that Lattica may make available.

  1. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LATTICA BE LIABLE FOR ANY (I) INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR (II) LOSS OF PROFITS OR REVENUE, LOSS OF DATA, COSTS, EXPENSES, PAYMENTS, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ANY FAILURE, ERROR, OR BREAKDOWN IN THE FUNCTION OF THE PLATFORM, OR FROM CUSTOMER’S RELIANCE ON THE OUTPUT OR OTHER MATERIALS ORIGINATING FROM THIRD PARTIES, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF LATTICA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL LATTICA’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS AND DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE FEES ACTUALLY PAID BY YOU TO LATTICA IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

  1. Indemnification

You will indemnify, defend, and hold harmless Company, its affiliates, resellers, employees and agents from and against all liabilities, damages, and costs (including reasonable attorneys’ fees) arising out of any claim, demand, suit or proceeding by a third party alleging that your Content or your use of the Platform (1) infringes or misappropriates a third party’s intellectual property rights or (2) violates applicable law or the privacy rights of third parties.

  1. Copyright Violation and Notification

The Company respects the intellectual property of others, and we ask users of the Website or the Platform to do the same. If you believe that any material on the Website or the Platform infringes upon any copyright which you own or control, or that any link on the Website or the Platform directs users to another website that contains material that infringes upon any copyright which you own or control, you may file a notification of such infringement at: [email protected]

To be effective, your notification should include:

  1. A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
  2. Identification of the copyrighted work claimed to have been infringed;
  3. Identification of the allegedly infringing material or link, and information reasonably sufficient to permit the Company to locate it;
  4. Your contact information, including your name, address, telephone number, and email address;
  5. A statement that you have a good-faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
  6. A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner.
  1. Applicable Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to any principles of conflicts of law. Any legal action, suit, or proceeding arising out of or relating to these Terms and/or the Website shall be brought exclusively in the competent courts in Tel-Aviv, Israel. The parties hereby consent to the personal exclusive jurisdiction of such courts and waive any objection to venue or claims of inconvenient forum. In case You do not consent to this section, or to any other term included in these Terms, you must not use the Platform and/or the Services.

  1. Updates and Amendments to these Terms

We reserve the right to modify these Terms at any time. Continued use constitutes acceptance.

We may amend these Terms of Use at any time by posting the updated version within the Platform. It is your responsibility to review these Terms periodically to stay informed of any changes, as they are binding on you.

In the event of material changes, Lattica will notify you through the Platform interface, your registered email address, or other reasonable means. Your continued use of the Platform following such notice or the effective date of the amended Terms constitutes your acceptance of the revised Terms.

If you do not agree to the amended Terms, you must discontinue use of the Platform. Continued use after the effective date will be deemed as acceptance of the changes.

  1. Changes To Service

We reserve the right to modify, suspend, or discontinue the Platform or any part of the Services, at our sole discretion and at any time. This may include changes to features, functionality, Compiled Program access, query submission capabilities, Credit policies, or Client configurations.

From time to time, we may limit or restrict access to certain portions of the Platform—whether due to system maintenance, capacity constraints, beta-stage limitations, or Credit exhaustion. We may also suspend access to individual Clients in the event of suspected misuse, violation of these Terms, or failure to maintain a sufficient Credit balance.

We are not liable for any interruption, suspension, or unavailability of the Platform, whether temporary or permanent, regardless of cause. You acknowledge that the Platform is currently in beta and may be subject to temporary limitations or disruptions as we continue to refine and enhance its performance.

  1. Waiver And Severability

No waiver by the Company of any term or condition set forth in these Terms of Use, shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under Terms of Use shall not constitute a waiver of such right or provision.  If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of Terms will continue in full force and effect.
